In October 2005 the Directive 2005/56/EC was adopted by the European Parliament and Council on cross-border mergers of limited liability companies.
A uniform and simplified procedure was adopted to facilitate cross-border mergers between companies incorporated and having their principal place of business within the European Community. The main criteria of the Directive, is that at least two of the companies are regulated by the laws of two different Member States.
