These companies are registered under the Gibraltar Companies Ordinance which is based on the Companies Act 1929 of the United Kingdom

Name - An application is filed with the Companies Registry and such name should not be similar to any already existing company.

Type of Company - The common type of company registered is an International Business Company (IBC).

Taxation -Gibraltar companies are exempt from taxation, provided that all income derives from outside Gibraltar or is not remitted to Gibraltar.

Annual license fee - An annual filing fee of GBP 30.00 is payable to the Registrar of Companies

Registered office - It must be situated in Gibraltar.

Members/Shareholders - The minimum number is one. The Shareholder may be the same person as the director.

Public access - The files maintained by the Registrar of Companies are accessible to the public.

Directors - The minimum number is one. The Director may be the same person as the shareholder

Secretary - It is not obligatory to appoint a Secretary.

Annual Return filing - There is requirement to file an annual return at the Registrar of Companies.

Financial Statements - Provided that the Net Turnover is less that GBP 4.8 million and the balance sheet total is less than GBP 2.4 million, the company must file an abridged balance sheet. There is no need to prepare a profit & loss account or Auditors Report. Such companies are considered small size companies. Medium size companies are those which Net Turnover is less than GBP 19.2 million and the Balance sheet total is less than GBP 9.6 million. In such cases the company must file Profit &Loss, Balance Sheet and Auditors report (although the information in the Profit & Loss may be abridged). A Large Company must file Profit & Loss Statements, Balance Sheet and an Auditor's Report. Accounts are not available to the public.
